Darrell Peterson advises and represents clients on all aspects of the broad range of business and commercial law and business transactions.   

Mr. Peterson has extensive experience with advising and representing clients in business transactions, including business, asset and real property acquisitions and sales; and, debt, equity and other financings and restructurings.  In doing so, Mr. Peterson utilizes the different disciplines that must be marshaled in complex transactions, including commercial, tax, intellectual property, ERISA, real estate, and environmental law, to provide comprehensive assessments, evaluations and recommendations to clients regarding due diligence and the structuring and negotiation of the transactions that best satisfy the objectives of the client. 

Mr. Peterson also advises and represents clients in the numerous types of business financings, including asset acquisitions, working capital, lines of credit, and capital infusion.  He also represents and has represented several commercial lenders in a wide variety of traditional and non-traditional financing and funding transactions, including documentation drafting and negotiation, and closing services, including term loans, lines of credit, equity participations, payment and performance bonding, and various types of collateralizations.

Mr. Peterson also advises and represents clients on the wide range of business law issues, including the formation and dissolution of business entities, including corporations, partnerships, joint ventures, limited liability companies, and limited liability partnerships, and the various related organization document issues, including provisions relating to management, control, non-compete, transfer restrictions, buyout, and capital contribution conditions and requirements.

Mr. Peterson also advises and represents business clients as outside general counsel regarding the various business and legal issues inevitably encountered on a regular basis, and with respect to the various and variety of disputes which arise during the course of the client’s business, including the negotiation and settlement, alternative dispute resolution, and litigation, of disputes and claims if necessary.

Prior to joining Jones & Associates, Mr. Peterson was the Vice President and Senior Assistant General Counsel for Black Entertainment Television in Washington, D.C.  While at Black Entertainment Television, Mr. Peterson provided legal advice and counsel in connection with organizational, contractual and transaction matters including affiliate programming and joint ventures.

From 1994 to 1996, Mr. Peterson was an associate with the law firm of Miller, Canfield, Paddock and Stone in Washington, D.C. where he was part of the telecommunications practice group.  While at Miller Canfield, Mr. Peterson represented local franchising authorities in matters concerning cable franchise transfers, cable franchise renewals and cable rate regulation.  Mr. Peterson also represented a venture capital financier in various loan transactions.

From 1991 to 1994, Mr. Peterson was an associate with the law firm of Alexander, Gebhardt, Aponte and Marks where he focused on transactions.  While at Alexander Gebhardt, Mr. Peterson represented clients in stock and asset acquisitions, bulk real estate sales, loan restructuring and asset-backed securitization.

During the period 1986 to 1991, Mr. Peterson held various positions in the Westinghouse Electric Corporation, the last of which was Section Manager.  During his tenure with Westinghouse, Mr. Peterson represented the company in transactions with foreign governments and corporations in the middle east, the near east, Europe and Scandinavia in connection with the sale of electronic equipment.

Mr. Peterson is from Amityville, New York where he received his primary and secondary education.
